All sales are made subject to the following terms and conditions. Robinson Laser, LLC. (hereinafter called Robinson) acceptance of any order is made conditional on Purchaser’s assent to these terms and conditions.

1. All prices, quotations, shipments and deliveries are F.O.B. Robinson Laser, LLC.

2. Purchaser cannot modify, cancel or otherwise alter orders after materials are in process without Robinson’s written consent. Any such cancellation, modification or alteration shall be subject to conditions as negotiated at such time, and shall include protection of Robinson against loss.

3. Shipments will be made FOB Robinson Laser, LLC, freight prepaid and add with the freight charge included on Robinson's invoice. Title passes to Purchaser when Robinson delivers material to carrier. Risk of loss or damage in transit shall be borne to Purchaser, and claim shall be made directly with carrier.

4. Subject to standard manufacturing variations, Robinson warrants that the materials furnished shall conform to specifications of the part detail as submitted. Robinson makes no other warranties, express or implied, and specifically excludes all warranties of merchantability and fitness for a particular purpose.

5. No claim for damages for materials that do not conform to specifications will be allowed unless Robinson is given immediate notice after delivery of materials to the first destination to which they are shipped and allowed an opportunity to inspect them. Materials for which damages are claimed shall not be returned, repaired or discarded without Robinson’s written consent.Purchaser’s exclusive remedy against Robinson, and Robinson’s sole obligations for any and all claims, whether for breach of contract, warranty, tort including negligence, or otherwise, shall be limited to Robinson’s replacing materials that do not conform to specifications, or at Robinson’s option, to refunding the purchase price of the materials. In no event shall Robinson have any liability for damages in connection with the sale of materials in an amount exceeding the purchase price of the materials sold and Robinson shall have no liability for incidental or consequential damages.

6. All orders are received, approved, and accepted at Robinson’s facilities.
